These Terms and Conditions ("Terms") govern your access to and use of the Slate Tutors platform, website, and related services (collectively, the "Platform"). The Platform is operated by Slate Nigeria Limited ("Slate", "we", "us", or "our"), a company based in Abuja, Nigeria. By accessing or using the Platform in any way, including by visiting our website, joining a waitlist, creating or requesting a tutor profile, or communicating with us, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
These Terms are intended to provide clear, plain-language guidance on how the Platform may be used, what you can expect from us, and what we expect from you. While these Terms are written in an accessible style, they are legally binding and should be read carefully together with our Privacy Policy, Data Protection Policy, and Cookie Policy, which are incorporated by reference.
1. Eligibility and Accounts
You may use the Platform only if you are legally capable of entering into a binding contract under the laws of the Federal Republic of Nigeria. By using the Platform, you represent and warrant that you are at least 18 years old, or that you are accessing the Platform as a parent or legal guardian on behalf of a minor. If you are using the Platform on behalf of another individual (such as your child), you are responsible for ensuring that they understand and comply with these Terms.
Certain features of the Platform may require you to create an account, join a waitlist, or submit information to us. You agree to provide accurate, current, and complete information at all times and to update such information promptly if it changes. You agree that you will not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity.
2. Nature of the Platform
Slate Tutors is designed to help Nigerian families discover, match with, and engage verified tutors for in-home and online lessons. The Platform uses technology, including AI-assisted tools, to support matching, verification, and communication processes. Unless we expressly state otherwise in a written agreement with you, the Platform currently operates as a marketplace and facilitation layer, and we do not act as an employer of tutors or as a direct provider of educational services.
Tutors listed or matched through the Platform are independent providers. While we may perform checks, screenings, or verification steps, the final decision to engage a tutor, invite a tutor into your home, or permit a child to interact with a tutor rests entirely with you. You acknowledge that any tutoring relationship, payment arrangement, or schedule agreed between you and a tutor is entered into at your own discretion and risk, subject to applicable law.
3. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Without limiting the generality of the foregoing, you agree that you will not:
- use the Platform in any way that violates applicable Nigerian law or the rights of any third party;
- upload, post, transmit, or otherwise make available any content that is unlawful, harmful, defamatory, obscene, harassing, discriminatory, or otherwise objectionable;
- attempt to gain unauthorised access to any portion of the Platform, other user accounts, or any systems or networks connected to the Platform;
- interfere with or disrupt the operation of the Platform or any servers or networks used to make the Platform available;
- copy, modify, distribute, sell, lease, or reverse engineer any portion of the Platform, except to the extent such restrictions are prohibited by law; or
- use any automated means (including bots, scrapers, or spiders) to access or collect information from the Platform without our prior written consent.
4. Content and Intellectual Property
All content on the Platform, including text, graphics, logos, illustrations, icons, images, audio clips, video clips, interfaces, software, and the overall design and "look and feel" of the Platform, is owned by or licensed to Slate and is protected by copyright, trademark, and other intellectual property laws. "Slate Tutors" and associated marks are trade marks of Slate Nigeria Limited.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, publicly display, or create derivative works from any portion of the Platform without our prior written consent, except where such use is expressly permitted by law.
5. Tutor and Parent Responsibilities
Parents and guardians are responsible for supervising tutoring relationships, including setting expectations around lesson format, communication channels, acceptable conduct, and boundaries. You should not leave a child alone with a tutor if you are not comfortable doing so, and you should promptly report any concerns to us using the contact details set out below.
Tutors are responsible for ensuring that any information they provide about their qualifications, experience, and background is truthful and accurate. Tutors must comply with all applicable laws and regulations relating to their services, including but not limited to safeguarding, child protection, and professional conduct standards.
6. Payments and Fees
Details of any payment flows, fees, commissions, or subscription charges will be communicated to you separately where relevant and may be updated from time to time. By proceeding with any transaction through the Platform, you agree to pay all applicable amounts and charges, and you authorise us or our payment partners to process such payments on your behalf.
Where payments are processed by third-party payment providers, your use of those services may be subject to additional terms and conditions imposed by such providers. Slate is not responsible for any errors, delays, or losses caused by third-party payment providers, but we will act reasonably to support you in resolving any issues that arise.
7. Data Protection and Privacy
We treat the protection of your personal data seriously. Our Data Protection Policy and Privacy Policy explain what information we collect, how we use it, the legal bases upon which we process it, and the rights you have in relation to your personal data. By using the Platform, you acknowledge that you have read and understood these policies and consent to the processing of your information in accordance with them, to the extent required by applicable law.
8. Disclaimers
While we take care in designing and operating the Platform, we do not guarantee that it will be error-free, uninterrupted, or always available. The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee any specific educational outcome, exam result, or academic improvement as a result of using the Platform or working with a tutor. Any testimonials or examples shown on the Platform are illustrative only and do not constitute a guarantee of similar results for you or your child.
9. Limitation of Liability
To the maximum extent permitted by Nigerian law, Slate, its directors, employees, and affiliates shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising out of or in connection with your use of the Platform, any tutoring relationship, or these Terms, whether based in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising out of or in connection with the Platform or these Terms shall, to the extent permitted by law, be limited to the greater of: (a) the total amount of fees you have paid to us (if any) in the 6 months preceding the event giving rise to the claim; or (b) a reasonable amount as may be mandated by applicable law.
10. Indemnity
You agree to indemnify, defend, and hold harmless Slate, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; or (c) your infringement of any rights of another person or entity.
11. Suspension and Termination
We may, at our sole discretion, suspend or terminate your access to the Platform, or any portion thereof, at any time and without prior notice if we reasonably believe that you have breached these Terms, are engaging in fraudulent or harmful activity, or are using the Platform in a way that could expose us, other users, or third parties to risk.
Upon termination, your right to access or use the Platform will immediately cease. Any provisions of these Terms which by their nature should survive termination (including, without limitation, intellectual property provisions, disclaimers, limitations of liability, and governing law provisions) shall so survive.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we do so, we will update the "Last updated" date at the top of this page and may provide additional notice where appropriate. Your continued use of the Platform after any such changes become effective constitutes your acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with them, or your use of the Platform, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
If a dispute arises between you and Slate, both parties will first attempt to resolve the matter amicably through good-faith negotiations. If the dispute cannot be resolved informally within a reasonable time, either party may refer the dispute to the competent courts of Nigeria, which shall have exclusive jurisdiction, unless mandatory law provides otherwise.
